Welcome to AllThingsIP Africa. Throughout the site, the terms “we”, “us” and “our” refer to AllThingsIP Africa and its subsidiaries. AllThingsIP Africa offers this website, including all information, tools and communication services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated herein.

By visiting our site and/ or purchasing services from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms and Conditions” or “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms and Conditions apply to all users of the site, including without limitation users who are browsers, vendors/agents, customers, merchants, and/ or contributors of content.

Please read these Terms and Conditions carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms and Conditions. If you do not agree to all the terms and conditions, then you may not access the website or use any services. 

Any new features or tools which are added to the current website shall also be subject to these Terms and Conditions. You can review the most current version of the Terms and Conditions at any time on this page. We reserve the right to update, change or replace any part of these Terms and Conditions by posting updates and/or changes to our website. You may check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.
Registration
You must register as a “User” in order to access and use the Services. On your registration as a User, we will create a profile for you based on the information you submit. You must provide true, accurate, complete and current information (including, without limitation, your name, email address, residential/postal address, credit card details, and other details as requested by AllThingsIP Africa during account creation on the Website. AllThingsIP Africa may request additional information from you in order to register you as a User and your registration as a User will be subject to providing any such additional information to AllThingsIP Africa. 

By registering yourself as a User on AllThingsIP Africa, you warrant that the details you provide to us are correct and complete, at all times, and you agree that you will inform us immediately of any changes to those details (e.g. change of email address). If you are registering as a User on behalf of a business or any corporate body, you are confirming that you hold the appropriate authority to bind the business or corporate body on whose behalf you are registering. You can access and update your details (excluding your name and last name) using the “My Account” area of the Website. 

You are responsible for maintaining the confidentiality of your Username and password and for preventing unauthorized access to your profile. You agree to accept responsibility for all activities that occur under or in relation to your account. Please take all necessary steps to ensure that the Username and password is kept confidential and secure at all times. Please inform us immediately if you have any reason to believe that your Username and/or password has become known to anyone else, or is/are being, or are likely to be, used in an unauthorized manner.
Compliance with Laws
You represent and warrant that: (i) you have the authority to, and are of legal age in your jurisdiction, to bind yourself to these Terms; (ii) your use of the Services will be solely for purposes that are permitted by these Terms; (iii) your use of the Services will not infringe or misappropriate the intellectual property rights of any third party; and (iv) your use of the Services will comply with all local, state and federal laws, rules, and regulations, and with all other AllThingsIP Africa policies and procedures.

Our mission is to make African legal experience extraordinary by providing direct access to high quality and cost-effective legal services. Through our technology, we offer online, innovative, and transparent legal solutions at a fraction of the cost and time of the traditional legal system. The information provided by AllThingsIP Africa along with the content on the website related to intellectual property and legal matters is provided for your private use and does not constitute legal advice. AllThingsIP Africa is not a Lawyer or IP Attorney/Agent referral service. The virtual community of Lawyers, IP Attorneys/Agents published on our website (AfricaIP Network®) is a free service which is for informational purposes only. AllThingsIP Africa does not endorse or recommend any Lawyer, IP Attorney/Agent or does it make any warranty as to the qualifications or competency of any Lawyer or IP Attorney/Agent except for those with “Verified” badges on their listings.
Communication with Lawyers and IP Attorneys/Agents on the Website
When you use the website, you will have the opportunity to initiate contact with Lawyers and IP Attorneys/Agents registered on our platform (“Participating Lawyers and IP Attorneys/Agents”). Participating Lawyers and IP Attorneys/Agents are third-party independent contractors that have agreed to provide legal and intellectual property services to the website users. When communicating with Lawyers and IP Attorneys/Agents through the website, please note the following:
Participating Lawyers and IP Attorneys/Agents Profiles on the Website
Lawyers and IP Attorneys/Agents on our website should be interpreted as advertisements. While AllThingsIP Africa strives to provide and to allow Participating Lawyers and IP Attorneys/Agents to provide useful and correct information regarding their legal and intellectual property services, there are some things that we may not guarantee. AllThingsIP Africa does not investigate, verify or warrant the accuracy of the information contained in any Participating Lawyers or IP Attorney/Agent profile on the Website except for those with “verified” badges on their profiles. Participating Lawyers or IP Attorneys/Agents are third-party independent contractors solely responsible for the advice they provide, the services they provide and the representations about themselves they make. You are solely responsible for assessing the quality, integrity, suitability and trustworthiness of all persons with whom you communicate regarding your legal requirements.

Lawyer and IP Attorney/Agent rating reflects AllThingsIP Africa’s assessment of a given Participating Lawyer or IP Attorney/Agent, based on the information obtained by or submitted by users to the website. Lawyer or IP Attorney/Agent rating is not an endorsement of any particular Lawyer or IP Attorney/Agent and is not a guarantee of their quality, competence, or character. Lawyer or IP Attorney/Agent ratings are intended to guide clients to gather information about Lawyers and IP Attorneys/Agents who may be suitable for their legal or intellectual property requirements. 

Lawyer and IP Attorney/Agent shall list all the services with ready-quoted service charges, documentations required for the services for the User’s reference. Lawyer and IP Attorney/Agent shall have separate agreement with AllThingsIP Africa for their commitment towards the completion of the Services procured by the User. 
Service Procedure by Lawyer, IP Attorney/Agent
The service is rendered in the following manner:
  1. Lawyer, IP Attorney/Agent undertakes to monitor authorized Users’ orders and projects within the AllThingsIP platform;
  2. Upon placing an order via the online store Lawyer, IP Attorney/Agent provides the User with a list of filing requirements as submitted and confirmed by the Lawyer/IP Attorney to AllThingsIP;
  3. Lawyer, IP Attorney/Agent undertakes to communicate and engage with the User on a regular basis through AllThingsIP Africa Platform;
  4. Lawyer, IP Attorney/Agent shall immediately, no later than 2 business days, confirm receipt of order and provide the User with all information on the matter as soon as possible;
  5. Lawyer, IP Attorney/Agent approves the ready-quoted service prices in the online store as they are based on their current fees schedule;
  6. Lawyer, IP Attorney/Agent undertakes to review the order and inform the User if additional services shall be added to the order;
  7. Lawyer, IP Attorney/Agent shall maintain regular communication with User during the prosecution process with all proceeding details, including correspondence with the Registration Authorities/IPO, Courts etc.;
  8. Lawyer, IP Attorney/Agent shall report to the User about any accomplished actions/milestones on the matter and uploads copies of the documents submitted to and received from the Registration Authorities/IPO, Courts etc. onto the AllThingsIP platform including all attachments and translations of such documents, if any;
  9. Lawyer, IP Attorney/Agent keeps the User updated on deadlines for further actions or the date(s) when any developments in the case are expected;
  10. Lawyer, IP Attorney/Agent shall advise the User beforehand about the cost of completion of any office action in respect of correspondence received from the Registration Authorities, Courts etc. Upon receipt of instructions from the User to proceed with said action, invoice shall be created for the corresponding ready-quoted service which User can pay for on the AllThingsIP online store. Lawyer, IP Attorney/Agent proceeds with the action upon confirmation of receipt of payment from the User. 
Payment Process for the Users 
Lawyer or IP Attorney/Agent hired by User through the Site shall have ready-quoted service charge for the processing the payment. Invoices for the services and any additional invoice generated/issued by the Lawyer, IP Attorney/Agent in case of arising additional expenses which were not included in the ready-quoted service charge shall be sent to User through the Site. All payments are made to AllThingsIP Africa. Any concerns relating to the content of such invoices, or the legal matters covered therein, will be addressed between User and Lawyer or IP Agent/Attorney. Payment confirmation shall be provided by AllThingsIP Africa.

User shall make the payment through the Site, upon accepting the invoice through the payment method provided in the website. User represents and warrants all the information provided therein is current, complete, and accurate information. User must promptly update all information to keep its account current, complete, and accurate, and User must promptly notify AllThingsIP Africa if its chosen payment method is canceled or if User becomes aware of a potential breach of security, such as the unauthorized disclosure or use of User’s name or password. Changes to such information can be made directly by contacting a AllThingsIP Africa’s representative. If AllThingsIP Africa, through payment method available, does not receive payment from User, User agrees to pay all amounts due on User’s account upon demand. 
Ownership of User Documents
AllThingsIP Africa does not claim ownership of any documents and or data you either create or upload and store using the website. You grant permission for AllThingsIP Africa to use your documents in connection with providing any services to you. 
Consent to Receive Emails and Notifications
By signing up for an account, you agree that you may receive email communication and notifications from AllThingsIP Africa, such as newsletters, special offers, and account reminders and updates. You also understand that you can remove yourself from these communications by clicking the "Unsubscribe" link in the footer of the actual email.
Online Store Terms
By agreeing to these Terms and Conditions, you represent that you are at least the age of majority in your country of residence and you have given us your consent to use this site.

You may not use our products or services for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

You must not transmit any worms or viruses or any code of a destructive nature.

A breach or violation of any of the Terms will result in an immediate termination of your Services.
System Requirements
Use of the Service requires a compatible computer and/or devices, computer accessories, Internet access, and certain software, and may require obtaining updates or upgrades from time to time. Because use of the Service involves hardware, software, and Internet access, your ability to use the Service may be affected by the performance of these factors. High speed Internet access is strongly recommended. You acknowledge and agree that such system requirements, which may be changed from time to time, are your responsibility.
General Conditions
We reserve the right to refuse service to anyone for any reason at any time.

You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.

The headings used in these Terms are included for convenience only and will not limit or otherwise affect the Terms.

We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as legal advice and sole basis for making decisions without consulting primary, more accurate, more complete or more current sources of information. We have made every effort to display as accurately as possible the all-inclusive prices (official fees, professional fees, VAT where applicable, Disbursements and Courier Fees) that appear in the store. 

We reserve the right, but are not obligated, to limit the sales of our Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. All descriptions of services or service pricing are subject to change at any time without notice, at the sole discretion of us or the resident Lawyers, IP Attorneys/Agents. 
Accuracy of Billing and Account Information
In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. 

You agree to provide current, complete and accurate purchase and account information for all purchases made on our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.
Optional Tools
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.

You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Any use by you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

We, together with our licensors, expressly reserve all intellectual property rights in all text, programs, products, processes, technology, content and other materials, which appear on the Services. Access to the Services does not confer and shall not be considered as conferring upon anyone any license under any of our or any third party’s intellectual property rights. Any use of the Services or its contents, including copying or storing it or them in whole or in part, other than for your own personal, non-commercial use, without our permission is prohibited.
Disclaimer of Warranties 
You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.

AllThingsIP Africa and its affiliates, and any of our and their officers, directors, managers, members, agents, and employees, expressly disclaim (to the fullest extent permitted by applicable law) any and all express, implied, and statutory warranties, including, without limitation, freedom from computer virus, title, and non-infringement of proprietary rights. 

In addition, AllThingsIP Africa makes no representation, warranty, or guarantee regarding the reliability, timeliness, quality, suitability, or availability of the Services. You agree that the entire risk arising out of your use of the Services, or any other services requested by you or delivered to you, remains solely with you. 

AllThingsIP Africa makes no warranty that the Services: (a) will meet your requirements or expectations; (b) will be available on an uninterrupted, timely, secure, or error-free basis; or (c) will be accurate, reliable, free of viruses or other harmful code, complete, legal or safe. The Services may be subject to limitations, delays and other problems inherent in the use of the internet and electronic communications. AllThingsIP Africa is not responsible for any delays, delivery failures or other damages resulting from such problems.
Limitation of Liability
In no case shall AllThingsIP Africa, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify, defend and hold harmless AllThingsIP Africa and our parent company, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms and Conditions or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
Severability
In the event that any provision of these Terms and Conditions is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms and Conditions, such determination shall not affect the validity and enforceability of any other remaining provisions.
Termination
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms and Conditions are effective unless and until terminated by either you or us. You may terminate these Terms and Conditions at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms and Conditions, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).
Entire Agreement
The failure of us to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision.

These Terms and Conditions and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms and Conditions).

Any ambiguities in the interpretation of these Terms and Conditions shall not be construed against the drafting party.
Force Majeure
Either party is not liable for failure to perform the party’s obligations if such failure is as a result of, any circumstances beyond the reasonable control of that Party (including, without limitation, any typhoon, Earthquake, volcano eruption, flood or other form of natural catastrophe or Act of God, epidemics or pandemics; any strike; lock-out or labour shortage. Prohibition, requisitions or measures on the part of any Governmental authority, and any war, civil commotion, insurrection or embargo (“Force Majeure”).

The Party affected by Force Majeure shall notify the other Party in writing of the Force Majeure event no later than seven (7) days from its start and use all reasonable endeavors to mitigate the effect of the Force Majeure event on the performance of its obligations.

If the Force Majeure event prevents, hinders or delays the performance of the obligations of the Party affected by Force Majeure for a continuous period of more than (30) days, the Party not affected by Force Majeure event may terminate the Agreement by giving thirty (30) days written notice to the other Party.
Dispute Resolution Procedure 
The User shall provide written notice to AllThingsIP Africa within 30 days of disputed matter setting forth in reasonable detail the facts and circumstances. The User’s failure to submit a notice within 30 days shall constitute such User’s permanent waiver of his or her right to dispute.  AllThingsIP Africa shall facilitate the dispute resolution between User and Participating Lawyers IP Agents/Attorneys.

The User and Participating Lawyers IP Attorneys/Agents has thirty (30) days to resolve the dispute with themselves. AllThingsIP Africa will also work with the parties to resolve the dispute. 
Governing Law
These Terms and Conditions and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the England and Wales. Any dispute that cannot be resolved by the Parties, shall be referred to and finally resolved by arbitration pursuant to the Rules of Arbitration of the International Chamber of Commerce ("ICC Rules") in force with the place of jurisdiction at London.

AllThingsIP Africa, accepts no liability whatsoever, direct or indirect, for noncompliance with the laws of any country other than the laws of England and Wales. 
Changes to Terms and Conditions
You can review the most current version of the Terms and Conditions at any time at this page.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms and Conditions by posting updates and changes to our website. It is your responsibility to check our website periodically for changes.
